What is the procedure to alter the Memorandum of Association (MoA) or Articles of Association (AoA)?
To alter the MoA or AoA, you need to follow the procedure prescribed by Section 14, 17 and 21 and any other applicable part of the Companies Act 1956 and 2013. Firstly, you need to convey the directors by a notice for a board meeting and hold it. Next, you need to hold a general meeting, for that too you need to send a notice first. After that, you need to file form MGT-14 with the Registrar of Companies. You do not need to fill any stamp duty for the alteration of MoA and AoA, as it a special resolution.
